Welcome to Speak2Easy (the "App"), a language-learning application owned and operated by Sonari Inc. ("Company," "we," "us," or "our"). These Terms of Use ("Terms") govern access to and use of the Speak2Easy mobile application, website, and any related features, content, tools, or services (collectively, the "Services").
Speak2Easy is a proprietary product of Sonari Inc.
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility & Use by Children
1.1 Age Eligibility
The Services are intended for users of all ages, including children under the age of 13 ("Children"), only with the permission and supervision of a parent or legal guardian.
1.2 Parental Consent
If you are a parent or legal guardian and allow a Child to use the Services, you represent and agree that:
- You are the Child's parent or legal guardian
- You consent to the Child's use of the Services under these Terms
- You accept full responsibility for the Child's activity, conduct, and compliance
- Any information provided by the Child is provided with your authorization
Children may not create accounts, start free trials, or purchase subscriptions without parental approval. For accounts used by Children, a parent or legal guardian's email address must be used for registration and account management.
If an account is created, we will presume that the account was created either by a parent or legal guardian on behalf of a Child, or by a user who is of legal age to enter into these Terms.
We do not independently verify age or parental status and rely on users and parents to comply with these requirements.
2. Parental Responsibility & Supervision
Parents and legal guardians are responsible for:
- Monitoring their Child's use of the Services
- Determining whether the Services are appropriate for the Child
- Managing account settings, subscriptions, and payments
- Ensuring the Child does not share unauthorized personal information
We rely on parents and guardians to supervise usage and do not independently verify parental consent.
3. Account Registration
To access certain features, you may be required to create an account.
- Account information must be accurate and current
- Parents or guardians may create and manage accounts for Children
- You are responsible for all activity occurring under your account
- You must keep login credentials confidential
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Free Trials
4.1 Free Trial Availability
We may offer a free trial for certain subscription plans, such as a 3-day free trial for the Speak2Easy Premium Monthly subscription. Free trials are provided at our discretion and may be limited to one per user, household, or Apple ID.
4.2 Automatic Conversion
Unless canceled at least 24 hours before the end of the free trial period, your free trial will automatically convert into a paid subscription, and your Apple ID account will be charged the applicable subscription fee. Any unused portion of a free trial period will be forfeited when you purchase a subscription. Parents or guardians are responsible for managing and canceling free trials for Children.
5. Subscriptions & Payments
5.1 Plans, Pricing, and Purchase Options
The Services may offer access through a variety of payment models, including but not limited to:
- Recurring subscriptions (monthly, annual, or otherwise)
- One-time purchases
- Lifetime or promotional access plans
- Free trials or limited-access plans
We reserve the right, at any time and in our sole discretion, to modify:
- Pricing
- Plan features and included content
- Billing structure and payment model
- Availability of any plan, offer, or promotion
Pricing, features, and billing terms applicable to a plan will be disclosed at the time of purchase. If pricing or plan structure changes, the updated terms will apply to future purchases or renewals after notice is provided through the Services, website, or account notification. Continued use of the Services after such notice constitutes acceptance of the updated terms.
5.2 Subscriptions and Automatic Renewal
Certain plans are offered as recurring subscriptions that automatically renew at the end of each billing period unless canceled prior to the renewal date. By purchasing a subscription, you authorize the Company and its payment processor to charge your payment method on a recurring basis for the applicable subscription fee, taxes, and any other charges incurred in connection with your account.
5.3 Billing Authorization
By purchasing a subscription, you authorize us (or our third-party payment processor) to:
- Charge your selected payment method on a recurring basis
- Collect applicable taxes and fees
- Continue billing until the subscription is canceled
All payments must be made by a parent or legal guardian when the account is used by a Child.
5.4 Marketing Disclaimer
Marketing descriptions, screenshots, demonstrations, in-app messaging, website content, and app store listings are provided for informational and illustrative purposes only and do not create contractual obligations or guarantees regarding features, content, update frequency, language availability, or user outcomes.
5.5 Auto-Renewable Subscription Terms
Speak2Easy currently offers the following auto-renewable subscription:
- Subscription Name: Speak2Easy Premium Monthly
- Price: $12.99 per month (USD)
- Billing Period: Monthly
- Free Trial: 3-day free trial for eligible new subscribers
- Description: Full access to all Speak2Easy lessons and features
Payment will be charged to your Apple ID account at confirmation of purchase, or at the end of the free trial period if applicable.
Your subscription automatically renews each month unless you cancel at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of your selected plan.
You can manage and cancel your subscription at any time:
- Open Settings on your device
- Tap your name at the top
- Tap Subscriptions
- Select Speak2Easy
- Tap Cancel Subscription
Cancellation takes effect at the end of the current billing period. You will continue to have access to subscription features until the end of the period you have already paid for.
Subscription pricing, plans, and availability are subject to change. Any changes will apply to future billing periods and will be communicated in advance through the App or platform notification.
Use of the App and subscriptions purchased through the Apple App Store are also subject to Apple's standard Licensed Application End User License Agreement.
6. Service Updates, New Languages & Feature Availability
6.1 Updates & Feature Rollouts
We may add, modify, enhance, or remove features, content, lessons, or supported languages at any time, including through updates, patches, or releases. While the Services may indicate or reference weekly or biweekly updates, such timeframes are targets only and not guarantees. Actual update frequency may vary based on development timelines, testing requirements, user feedback, technical constraints, or other business considerations.
6.2 No Guaranteed Update Schedule
We do not guarantee that:
- New languages will be added on a fixed schedule
- Features will be released weekly, biweekly, or at any specific interval
- All announced or previewed features will be released at a particular time or at all
We reserve full discretion over the timing, scope, and content of all updates.
6.3 No Entitlement to Specific Features
Your subscription grants access to the Services as it exists during your subscription period, but does not guarantee access to any specific future language, feature, or functionality. Changes to the Services, including delays or discontinuation of features, do not entitle users to refunds, except where required by law.
7. Cancellation & Renewal
7.1 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the end of the current period.
7.2 Cancellation
You may cancel your subscription at any time through the Apple App Store. To cancel, go to Settings > [your name] > Subscriptions > Speak2Easy > Cancel Subscription. Cancellation will take effect at the end of the current billing period. You will retain access to subscription features until that time.
8. Refunds
Except where required by law, subscription fees are non-refundable, partial billing periods are not refunded, and unused time after cancellation is not refunded. One-time purchases, lifetime access plans, or promotional plans are non-refundable and may be subject to feature limitations, service changes, or discontinuation of specific content over time. If you believe you were charged in error, contact us at support@sonarilabs.ai.
9. Taxes
Subscription fees may be subject to applicable taxes depending on your location. You are responsible for paying all applicable taxes unless otherwise stated.
10. Acceptable Use
You agree not to:
- Use the Services for unlawful purposes
- Upload or share harmful, offensive, or inappropriate content
- Attempt to exploit, harm, or solicit personal information from other users
- Circumvent security or access controls
Because we do not independently verify a user's age, all features of the Services may be accessible to any account. Certain features, content, or experiences may be designed with different age groups in mind and may evolve over time.
Parents and legal guardians are responsible for supervising a Child's use of the Services and determining which features are appropriate for the Child. We rely on parents and users to ensure that use of the Services aligns with the user's age, maturity, and applicable parental guidance.
11. Educational Content Disclaimer
The Services provide language-learning tools for educational purposes only. We do not guarantee:
- Academic outcomes
- Language fluency
- Alignment with specific school curricula
Parents and guardians are responsible for assessing educational suitability.
12. Machine Learning & Automated Analysis Disclaimer
Certain features of the Services may rely on machine learning, artificial intelligence, automated speech recognition, and other algorithmic technologies to analyze user input, including spoken language, pronunciation, and learning behavior. These technologies are experimental and continually evolving. As a result:
- Feedback, pronunciation scoring, and language analysis may not always be accurate, complete, or contextually correct
- Automated results may vary depending on device hardware, microphone quality, accents, background noise, internet connectivity, or other environmental factors
- System feedback should be interpreted as learning assistance only, not as a definitive evaluation of pronunciation, language ability, or linguistic correctness
The Company does not guarantee the accuracy, reliability, or correctness of any machine-generated feedback, scoring, recommendations, or analysis provided through the Services.
Machine learning systems may improve over time through updates, training, and system improvements. However, the Company makes no representations or warranties regarding the current or future performance of such technologies.
By using the Services, you acknowledge that automated analysis is provided for educational and illustrative purposes only and should not be relied upon as a sole measure of language proficiency.
Parents and guardians should supervise Children's use of the Services and help interpret automated feedback where appropriate.
13. Privacy & Data Protection
Use of the Services is governed by our Privacy Policy, which explains how we collect, use, and protect personal information, including information related to Children. Parents may contact us to review, correct, or request deletion of their Child's data.
User Feedback and Diagnostic Information
If you choose to submit feedback, bug reports, feature requests, or other communications through the Services, you acknowledge that such submissions may include technical and diagnostic information about your device, app usage, and system environment, as well as any content you voluntarily provide, including screenshots.
You represent that any information you submit through feedback or reporting features is accurate to the best of your knowledge and does not contain sensitive personal information that you do not wish to share.
We use this information solely to provide support, troubleshoot issues, improve performance, and enhance the Services in accordance with our Privacy Policy.
14. Intellectual Property
All content, materials, and software made available through the Services are owned by or licensed to the Company and protected by intellectual property laws. You may not copy, distribute, or modify Services content without written permission. You may not access or use the Services for the purpose of building a competing product or service.
14.1 Open-Source Software
Certain components of the Services may incorporate or rely on third-party open-source software made available under applicable open-source licenses, including software distributed under the MIT License. Where required by applicable open-source licenses, the following notice applies:
Open-source components remain the property of their respective authors and are provided under their respective licenses. Nothing in these Terms limits your rights under those open-source licenses.
15. Termination
We may suspend or terminate access to the Services at any time if:
- These Terms are violated
- Use poses legal or safety risks
- Required by law
Parents may terminate a Child's access at any time.
16. Right to Modify or Discontinue Services
We reserve the right, at any time and in our sole discretion, to modify, suspend, or discontinue any part of the Services, including features, content, languages, or functionality, with or without notice. We shall not be liable to you or any third party for any such modification, suspension, or discontinuation.
17. Service Discontinuation; Wind-Down
We reserve the right to suspend or permanently discontinue the Services, in whole or in part, at any time, for any reason, with or without notice. In the event the Services are permanently discontinued:
- Access to the Services may be terminated immediately
- Active subscriptions may be canceled
- The Company may, but is not obligated to, provide prorated refunds for unused subscription periods
- One-time purchases, lifetime access plans, and promotional plans do not guarantee continued availability of the Services and are not eligible for refunds
You acknowledge and agree that the continued availability of the Services is not guaranteed and that you use the Services at your own risk.
To the maximum extent permitted by law, the Company's total liability in connection with any suspension or discontinuation of the Services shall not exceed the greater of (a) the amount you paid to the Company in the three (3) months preceding the discontinuation, or (b) $25.
18. Disclaimer of Warranties
The Services and all content and services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, the Company disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, or that the Services will be uninterrupted, error-free, or meet any educational or performance expectations.
19. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of data, loss of use, loss of educational progress, loss of profits, or other intangible losses arising out of or related to the use of, or inability to use, the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if the Company has been advised of the possibility of such damages.
20. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your use of the Services
- A Child's use of the Services under your supervision
- Your violation of these Terms
- Your violation of any law or the rights of any third party
- Any content, information, or materials submitted through your account
This obligation applies whether the account is used by an adult or a Child.
21. Dispute Resolution; Mediation; Arbitration
21.1 Informal Resolution and Mediation First
Before filing any claim, you and the Company agree to first attempt to resolve the dispute informally by contacting the other party. If the dispute is not resolved within 30 days, the parties agree to attempt resolution through non-binding mediation conducted remotely or in Antioch, TN.
21.2 Binding Arbitration
If mediation does not resolve the dispute, the dispute shall be resolved through binding arbitration conducted by a mutually agreed-upon neutral arbitrator under streamlined procedures intended to minimize cost and complexity. The parties are not required to use any specific arbitration provider. If the parties cannot agree on a provider, the arbitrator shall be selected by mutual agreement.
21.3 Small Claims Option
Either party may elect to bring qualifying claims in small claims court instead of arbitration.
21.4 No Jury Trial; No Class Actions
You waive any right to a jury trial and agree that all disputes must be brought in an individual capacity and not as part of any class, collective, or representative action.
21.5 Injunctive Relief
The Company may seek injunctive or equitable relief in court for misuse of intellectual property or unauthorized access to the Services.
22. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. For users outside the United States, local consumer protection laws in your jurisdiction may apply to the extent required by applicable law.
23. International Use
The Services are intended for a global audience and may be accessed from countries outside the United States. By using the Services, you acknowledge and agree that:
- Your information may be transferred to, stored, and processed in the United States and other jurisdictions where Sonari Inc. or its service providers operate
- These jurisdictions may have data protection laws that differ from those in your country of residence
We take reasonable steps designed to ensure that personal information receives an appropriate level of protection when transferred internationally, including through contractual protection or other safeguards where appropriate.
You are responsible for ensuring that your use of the Services complies with local laws applicable in your jurisdiction. Nothing in these Terms limits any rights you may have under mandatory consumer protection or data protection laws in your country of residence.
24. Opt-Out Right
You may opt out of the arbitration agreement by sending written notice to support@sonarilabs.ai within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in accordance with Section 22 (Governing Law).
25. Changes to Terms
We reserve the right to modify or update these Terms at any time in our sole discretion. Updated Terms will be posted within the Services or on our website with a revised effective date. Your continued use of the Services after the updated Terms are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services and cancel any active subscriptions. We are not required to provide individual notice of changes to these Terms.
